1. Introduction

Welcome to Josh K. Brown Production ("Company," "I," "Me," "My"). By purchasing video editing services, you ("Client") agree to the following Terms and Conditions. Please read carefully.

2. Services Provided

Josh K. Brown Production provides video editing, sound design, color grading, motion graphics, and related services based on the selected package.

Service Scope Includes:

✅ Video trimming, cutting, and sequencing.
✅ Sound leveling, mixing, and background noise reduction.
✅ Color correction and grading.
✅ Motion graphics, subtitles, and text overlays (if included in the package).
✅ Revisions as specified per package.

Service Scope Does NOT Include:

❌ Raw footage recording or shooting.
❌ Unlimited revisions beyond what is included in the package.
❌ Creation of custom assets (e.g., logos, brand kits) unless explicitly agreed upon.
❌ Editing after final approval unless a new agreement is made.

3. Scope of Work & Additional Requests

The project scope includes only the services and deliverables outlined in the agreed-upon package or proposal.
Any additional requests or changes outside the original scope (e.g., extra revisions, adding new content, custom graphics, or restructuring footage) will require a new agreement.
If a Client requests work beyond the original scope, an updated invoice will be presented, and payment must be made in full before additional work begins.
Any delays in approving scope changes or making additional payments may impact the project timeline.

4. Turnaround Time & Delivery

Standard delivery times vary based on package selection.
Rush orders may be available for an additional fee.
Final videos will be delivered via Google Drive, Dropbox, or another agreed-upon platform.
Files will be available for 30 days post-delivery before deletion, unless otherwise requested.

5. Payment Terms

A deposit is required upfront before any work begins.
Once the deposit is paid and the Project Brief is received, if the Client cancels or terminates the project, the deposit is forfeited.
If the Client cancels after work has begun and at the time of the first revision, the deposit remains non-refundable.
The remaining balance is due before final delivery of approved videos.
Final videos will only be delivered and watermarks removed upon full payment.
Payments for out-of-scope work must be made before any additional work begins.
Payments are processed securely via Stripe, PayPal, or another trusted processor.
Refunds are not available once editing has begun, but I will work with you to meet your expectations within the agreed revision limits.

6. Revisions & Changes

Each package includes a specific number of revision rounds:

Revisions must be requested within 7 days of receiving the initial draft.
Additional revisions outside of the package scope may incur extra charges.
Major changes (e.g., reworking entire sequences, adding new footage) will require a separate agreement.

7. Confidentiality & Ownership

Client’s Rights:

Until final payment is made, all videos remain the property of Josh K. Brown, and any delivered previews will contain a watermark.
Once final payment is made, the Client retains full ownership of the final edited videos.
Your raw footage and project details remain confidential and will not be shared, sold, or used for any purpose other than completing the agreed-upon project.

Josh’s Rights:

I do not claim any rights to your content but may use project details for marketing purposes (e.g., “Edited a course video for [Client Name]”).

8. Client Responsibilities & Legal Compliance

The Client agrees to provide all necessary assets (videos, images, audio, branding materials, etc.) in a format suitable for editing.
The Client certifies that all provided materials are legally owned, properly licensed, or authorized for use in the project.
If Josh K. Brown sources any materials (e.g., stock footage, music, sound effects) on behalf of the Client and the Client agrees to their use, Josh will ensure proper licensing and attribution are obtained.
Josh K. Brown is not responsible for copyright infringement, licensing violations, or legal disputes arising from the use of Client-provided content.
The Client agrees to indemnify and hold harmless Josh K. Brown from any claims, damages, or liabilities resulting from unauthorized or illegal content.

9. Limitations of Liability

I am not liable for delays caused by the Client (e.g., late submission of assets, unclear instructions).
I do not guarantee specific results (e.g., views, engagement, or conversions from edited videos).
I am not responsible for technical issues (e.g., third-party platform bugs, software limitations).
In no event shall Josh K. Brown or Josh K. Brown Production be liable for more than $200 in damages or price paid by You for package, whichever is less, regardless of the nature of the claim.

10. Cancellation & Termination

Once the deposit is paid and the Project Brief is received by Josh K. Brown, if the Client cancels or terminates the project, the deposit is forfeited.
If the Client cancels after work has begun and at the time of the first revision, the deposit remains non-refundable.
Refunds are not available, but I will work with you to meet your expectations within the agreed revision limits.
If you fail to provide materials or feedback for revision within 30 days of request, the project may be terminated without a refund.

11. Testimonial & Video Release

The Client grants permission for Josh K. Brown to use edited final versions of their video projects for promotional purposes, including portfolio, website, social media, and marketing materials.
The Client agrees that testimonials, feedback, and success stories may be used in marketing, unless otherwise requested in writing.
Josh K. Brown will NOT use any proprietary, intellectual property, confidential, or sensitive content in public-facing portfolios or promotions.
If the Client prefers to keep their entire video private, they must submit a written request before final delivery to joshkbrownproduction.com.

12. Dispute Resolution & Jurisdiction

Jurisdiction: Any disputes arising from these Terms and Conditions shall be governed by and interpreted under the laws of Weld County, Colorado.
Virtual Mediation: If a dispute occurs, both parties agree to attempt to resolve the matter through virtual mediation before pursuing any legal action.
Liability Limitation: In no event shall Josh K. Brown or Josh K. Brown Production be liable for more than $200 in damages or price paid by You for package, whichever is less, regardless of the nature of the claim.
No Consequential Damages: Josh K. Brown is not responsible for indirect, incidental, or consequential damages arising from delays, lost revenue, or third-party platform issues.

13. Updates to Terms

I may update these Terms occasionally. The latest version will always be available on my website. By continuing to use my services, you agree to any updates.
